1. Definitions
In these Terms and Conditions:
- "Agreement" refers to these Terms and Conditions together with any service engagement letter or written scope agreed between Seraphique and the Client.
- "Service" refers to any of the support services provided by Seraphique, including the Neighbourhood Immersion Guide, Post-Move Settling Service, and Premium Furnishing Package.
- "Client" or "You" refers to any individual or entity engaging Seraphique's services.
- "We," "Us," or "Our" refers to Seraphique.
- "Website" refers to the site operated by Seraphique at serapil.sbs.
- "Content" refers to all information, materials, and outputs produced by Seraphique in connection with a service.
2. Acceptance of Terms
By submitting an enquiry through our website, entering into a service agreement with Seraphique, or engaging our services in any form, you confirm that you have read, understood, and agree to these Terms and Conditions.
You must be 18 years of age or older to engage our services. By proceeding, you confirm that you meet this requirement and have the legal capacity to enter into a binding agreement.
3. Service Description
Seraphique provides residential support services for tenants of luxury properties in Kuching, Sarawak, Malaysia. Our three core services are:
- Neighbourhood Immersion Guide: Local orientation, personalised neighbourhood profiling, and ongoing advisory support (RM 2,200).
- Post-Move Settling Service: Periodic check-ins, property issue support, and trusted local referrals during the settling period (RM 3,950).
- Premium Furnishing Package: Full-scope furnishing sourcing, delivery coordination, and final styling for unfurnished or partially furnished properties (RM 4,450 service management fee, furniture costs separate).
Seraphique reserves the right to decline any engagement request at its discretion.
4. Payment Terms
Service fees are invoiced in Malaysian Ringgit (RM) as stated above. Payment terms will be specified in the service engagement letter. Standard terms are 50% upon engagement commencement and 50% upon service completion, unless otherwise agreed in writing.
Payments can be made via bank transfer to the details provided on invoice. Late payments may incur interest at the rate applicable under Malaysian law.
For the Premium Furnishing Package, costs of furniture, appliances, linens, and décor are in addition to the service management fee and will be invoiced separately based on actual procurement costs.
5. Cancellation and Refund Policy
Cancellations received more than 5 business days before a service engagement commences will receive a full refund of any deposit paid. Cancellations within 5 business days of commencement will forfeit any deposit paid. Once a service is in progress, fees for work completed are non-refundable.
Seraphique is not liable for delays caused by circumstances outside our reasonable control, including supplier delivery delays, property access issues, or unforeseen changes to the client's circumstances.
6. Client Responsibilities
To enable effective service delivery, you agree to:
- Provide accurate information about your property, timeline, and preferences at the time of engagement
- Be reasonably available for consultations and approvals as required during the engagement
- Ensure Seraphique's team has lawful access to the relevant property where required for the service
- Inform us promptly of any changes to your circumstances that may affect the scope or timeline
7. Intellectual Property
All materials prepared by Seraphique during an engagement — including neighbourhood profiles, mood boards, and service documentation — are prepared for your personal use only. You may not reproduce, distribute, or commercialise these materials without prior written consent from Seraphique.
8. Disclaimers
Seraphique provides services on a best-efforts basis. We do not represent or warrant that:
- Any third-party referral (tradesperson, supplier, professional) will perform to any particular standard
- Any furnished property will meet an objective aesthetic standard
- The settling process will proceed within any particular timeframe beyond what is agreed in writing
We are not a licensed estate agent and do not provide property valuation, legal, or financial advice.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law, Seraphique's total liability to you in connection with any service shall not exceed the service fee paid for that specific engagement. We are not liable for indirect, consequential, or incidental losses arising from our services.
10. Confidentiality
Both parties agree to maintain the confidentiality of information exchanged during an engagement. Seraphique will not disclose your personal information or engagement details to third parties except as required to deliver the service or as required by law.
11. Termination
Either party may terminate an engagement in writing with 5 business days' notice. Upon termination, fees for work completed to the date of termination remain payable. Seraphique may terminate an engagement immediately if a client engages in conduct that is abusive, unlawful, or incompatible with the service relationship.
12. Dispute Resolution
In the event of a dispute, both parties agree to attempt informal resolution in good faith within 14 days of the dispute arising. If unresolved, disputes shall be referred to mediation or, failing that, to the courts of Malaysia. These Terms are governed by the laws of Malaysia, with jurisdiction in the courts of Sarawak.
13. General Provisions
- Entire Agreement: These Terms, together with any written service engagement, constitute the entire agreement between the parties.
- Severability: If any provision is found to be unenforceable, the remainder of these Terms shall continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of our services following notification of any changes constitutes your acceptance of the updated Terms. We will indicate the date of the most recent revision at the top of this document.
